Australia’s Competition Watchdog Approves Woolworths’ Stake Buy in Petstock

Australia’s competition watchdog, the Australian Competition and Consumer Commission (ACCC), has given its approval for Woolworths’ acquisition of a 55% stake in specialty pet retailer Petstock Group. The ACCC announced on Thursday that it will not oppose the deal after conducting a review of the proposal.

In November, the ACCC had expressed concerns over Petstock’s acquisitions between 2017 and 2022, which included Best Friends Pets, Pet City, Animal Tuckerbox, and Pet and Aquarium Warehouse in Eltham, Victoria. The regulator had suggested that these acquisitions may have violated competition laws.

However, after further assessment, the ACCC concluded that Woolworths’ purchase of a majority stake in Petstock is unlikely to substantially reduce competition in the market. ACCC Chair Gina Cass-Gottlieb stated, We consider Woolworths’ proposed acquisition of a 55 percent interest in Petstock is unlikely to substantially lessen competition.

As part of the approval, the ACCC has ordered Petstock to divest a package of sites and assets, which includes 41 retail stores. This requirement aims to address the competition concerns raised by the regulatory body.

Woolworths has acknowledged the ACCC’s decision and stated that the divestiture by Petstock will lead to an adjustment in the offer price, reducing it from the previously disclosed A$586 million ($390.51 million) to approximately A$438 million.

Petstock, on the other hand, has not yet responded to Reuters’ request for comment regarding the ACCC’s approval.

It is worth noting that the Australian pet retail market is highly competitive, with numerous players vying for market share. Woolworths’ stake buy in Petstock is expected to have a significant impact on the industry, given the company’s substantial presence and resources in the Australian market.

The ACCC’s approval of the Woolworths-Petstock deal comes after a careful analysis of the potential implications for competition and consumer welfare.
