Canada Court Affirms Thumbs Up Emoji as Legally Binding Agreement

Achter replied to Mickleborough’s message with a thumbs-up emoji, indicating that he had received the contract. However, when November came around, Achter failed to deliver the flax, causing prices to skyrocket. The interpretation of the emoji’s meaning became a point of contention between Mickleborough and Achter. While the buyer argued that the thumbs-up emoji signaled acceptance of the contract’s terms, the farmer contended that it merely indicated receipt of the message.

Justice Timothy Keene, presiding over the case, acknowledged that the thumbs-up emoji was a non-traditional means to ‘sign’ a document. However, he determined that under the circumstances, it was a valid way to convey the two purposes of a signature: acknowledgment and acceptance. Keene dismissed concerns raised by the defense about potential misinterpretations of other emojis, such as the fist bump or handshake.
