Melbourne, Australia–(Newsfile Corp. – September 13, 2023) – Newcrest Mining Limited has announced that it will hold a Scheme Meeting to discuss the proposed acquisition of Newcrest by Newmont Overseas Holdings Pty Ltd. This acquisition is set to take place through a scheme of arrangement, with Newmont Overseas Holdings Pty Ltd being a wholly owned indirect subsidiary of Newmont Corporation.
Newcrest has distributed a letter to its shareholders, providing details on how to access the Scheme Booklet, where all relevant information about the proposed acquisition can be found. The Scheme Booklet includes the Notice of Scheme Meeting, which is a crucial document that shareholders should read carefully before voting on the transaction.

The Scheme Meeting, as ordered by the Federal Court of Australia, will take place on Friday, October 13, 2023, at 10:30 am (Melbourne time). The meeting will be conducted both in-person at the RACV City Club in Melbourne and online at https://meetings.linkgroup.com/NCMSCHEME.
Shareholders are encouraged to participate in the Scheme Meeting and vote on the proposed scheme of arrangement. Proxy and Voting Forms can be lodged online at https://investorcentre.linkgroup.com for shares on the Australian and PNG Registers, and at www.meeting-vote.com for shares on the Canadian Register.
To ensure that their votes are counted, shareholders must submit Proxy and Voting Forms by Wednesday, October 11, 2023, at 10:30 am (Melbourne time). For shareholders on the Canadian Register, the Eastern Time deadline is Tuesday, October 10, 2023, at 7:30 pm.
If shareholders are unable to attend the Scheme Meeting, they can cast their votes in advance by lodging a direct vote or a directed proxy as early as possible.
During the Scheme Meeting, shareholders will have the opportunity to ask questions, either in writing via the online platform or verbally by telephone using a unique personal identification number (PIN). Written questions must be submitted by Wednesday, October 11, 2023, at 10:30 am (Melbourne time).
